The Pennsylvania Governor’s Office of General Counsel (OGC) seeks a licensed transactions-oriented attorney with qualifying law experience in the areas of public finance, real estate and commercial financing to join the Department of Community and Economic Development (DCED) Office of Chief Counsel.  

This position, based in Harrisburg’s Capitol Complex, offers the opportunity to provide legal services to DCED and its various authorities including the Commonwealth Financing Authority, the Pennsylvania Industrial Development Authority, and the Pennsylvania Economic Development Financing Authority on matters including, public finance debt obligations, bond issuances,  compliance and disclosure matters, and complex financing transactions. While it is anticipated that this position will be filled at the Attorney 3 level, the ultimate classification level and salary will be dependent on the level of directly relevant experience possessed by the successful applicant.  

 

What You’ll Do

This is an extraordinary time in DCED’s history as we implement two transformative initiatives of Governor Shapiro: his Ten-Year Strategic Economic Development Plan (the first of its kind in almost two decades) and his Housing Action Plan (Pennsylvania’s first-ever housing action plan which offers a comprehensive state-wide strategy for safe, stable, and affordable housing).  

As a member of the DCED OCC, you will provide legal services to a multitude of DCED program offices, collaborate with outside stakeholders and other Commonwealth agencies, and launch programs designed to support the economic development and housing initiatives. You have an opportunity to have a direct and meaningful impact on the lives of citizens across the Commonwealth.

As Assistant Counsel, you will structure and negotiate financing transactions, serve as issuer counsel, prepare legal opinions and other bond documentation, collaborate with bond counsel and underwriters, advise program staff on best practices, and advise program staff concerning complex financing transactions including optimal structuring, collateralization, and securitization.

 

Who We’re Looking For

The ideal candidate will have a minimum of three (3) years of substantive experience representing issuers, knowledge of tax-exempt and taxable bond issuances, expertise in disclosure and post-bond issuance compliance issues, and experience in negotiating and closing loan transactions for a public or private entity or government agency, either in an in-house capacity or as outside counsel.  

This position requires a proven ability to analyze issues and convey legal advice, professional and effective written and oral communications skills, attention to detail, solid interpersonal skills, and an ability to foster trust and respect, including creating collaborative and responsive working relationships with colleagues and clients.

 

Required Qualifications

Applicants Must:

  • Hold a Juris Doctor from an ABA-accredited law school 

  • Be admitted to the Pennsylvania Bar in good standing
