Description of Duties: Describe in detail the duties and responsibilities assigned to this position. Descriptions should include the major end result of the task. Example: Types correspondence, reports, and other various documents from handwritten drafts for review and signature of the supervisor. Provides preliminary review of incoming Local Government Unit Debt Act (LGUDA) filings, tracks mail from the LGUDA Resource Account, and tracks filing fees paid by local government units. Maintains the LGUDA database. Reviews tax and revenue anticipation note proceedings to ensure compliance with state law and notifies filers of irregularities or acceptance Prepares and forwards approved proceedings to bond counsel or local government unit’s representative as appropriate. Reviews supplemental information associated with applications that contain discrepancies and makes changes when necessary to assist in attorney’s evaluation
Right-to-Know Law: Assists with managing the Department’s compliance with RTKL. Including performing an independent review and analysis of RTKL requests received by the Department, interpreting the applicability of any record exemption; and performing the initial legal review of responsive records for any necessary redaction of data protected from release.
Financing Transactions: Independently manage assigned project files for the settlement of loan and grant funding offers issued by DCED through the closing process, including the collection and review of all required due diligence items. The position requires a thorough understanding of financing transactions, including collateral requirements, lien priority position, organizational structure, trust indentures, intermunicipal agreements, compliance with applicable state and federal laws and regulations, as well as any other issues which may jeopardize the funding recipient’s ability to complete the project or repay the DCED loan. This requires obtaining all required information; setting up file folders; preparing, analyzing, proofreading, and finalizing documents; monitoring and reviewing files to ensure completeness and receipt of required items from the borrower; filing UCC-1 financing statements for loans secured by personal property; preparing check requests; and performing Contractor Responsibility checks. Create the appropriate settlement documents that pertain to the transaction and draft any documents that are not created via the electronic online system. These documents include intercreditor agreements, irrevocable bank letters of credit, pledges of accounts, stocks or marketable securities, modifications or amendments, and other legal documents pertaining to DCED transactions. File, review, and monitor transaction filings for Uniform Commercial Code compliance and otherwise review and monitor perfection of all collateral. Conduct lien searches and brief counsel on issues which may adversely impact the Funding Recipient’s financial condition. Drafts preliminary packages and loan documents to conform with loan commitment letter. Reviews loan closing file for compliance with closing agenda. Assists attorney with loan closings, including funding requests, file review, closing binder preparation and post -closing follow-up.
Additional Duties: Performs such other tasks as may be assigned by the Chief Counsel, the Deputy Chief Counsels, the assigned attorney, or the Officer Manager. |
